Protiva Service Terms
Last updated: December 30, 2025
These Service Terms apply when you purchase or engage Protiva for services ("Services"). If there is a conflict between a signed Statement of Work ("SOW") and these Service Terms, the SOW controls.
What we deliver
Protiva delivers an AI-accelerated, human-reviewed product experience, typically including:
- A working interactive prototype experience
- Production-ready front-end foundations and handoff documentation
- Integration-ready touchpoints and basic data-shape assumptions for handoff clarity
Protiva does not deliver a complete production backend unless explicitly stated in the SOW.
Scope and change control
Your SOW defines the scope, including tiers, flows, screens/views, and revision rounds. Requests outside scope may require a revised quote or a new phase/SOW.
Client responsibilities
You agree to provide timely:
- Requirements, brand assets, copy, and approvals
- Access to necessary accounts/tools (if applicable)
- Feedback within agreed review windows
Delays in feedback or missing inputs may affect timelines.
AI-assisted development
We may use AI tools to accelerate drafting, code generation, and iteration. Protiva remains responsible for:
- UX direction, consistency, and QA
- Packaging deliverables to handoff standards described in the SOW
Revisions
Revisions are included as specified in your tier. Revisions cover refinements to the agreed scope, not net-new features or major direction changes.
Fees and payment
Payment terms are defined in the SOW. Unless stated otherwise, a typical structure is:
- Deposit to start
- Milestone payment at first review
- Final payment at handoff
Late payments may pause work.
Refunds and cancellations
Because Services involve reserved capacity and custom work, refunds are limited:
- If you cancel before work begins, we may refund amounts paid minus non-refundable onboarding costs (if any).
- If you cancel after work begins, you pay for work completed plus any committed costs.
Specific refund terms should be finalized in the SOW.
Third-party services
If your project uses third-party services (hosting, analytics, AI APIs, UI libraries), you are responsible for third-party fees unless the SOW states otherwise. We are not responsible for third-party outages or changes.
Warranty disclaimer
Deliverables are provided "as is." We do not guarantee business outcomes (fundraising, conversions, SEO ranking). We do not provide legal compliance certification unless explicitly stated.
Limitation of liability
To the maximum extent permitted by law:
- Protiva is not liable for indirect or consequential damages.
- Protiva's total liability is limited to fees paid for the Services under the applicable SOW.
Portfolio rights
Unless you request otherwise in writing, Protiva may display non-confidential portions of the work (e.g., screenshots, short clips) in a portfolio after launch or after the engagement ends. If confidentiality is required, it should be included in the SOW.
Governing law
These Service Terms are governed by the laws of Ontario, Canada.
